College Heights Association Constitution

Article I: Name

  • Section 1 - The name of this organization shall be the College Heights Association.

Article II: Object

  • Section 1 - The object shall be to protect and advance the interests of the College Heights neighborhood and its residents.

Article III: Members

  • Section 1 - All persons residing in the College Heights neighborhood, or persons who have an interest in the College Heights neighborhood, are eligible for membership.

Article IV: Annual Meeting

  • Section 1 - There shall be an Annual Meeting of the Association in the Fall of each year, to which all members of the Association will be invited.

Article V: Officers

  • Section 1 - Election of officers will take place at the Annual Meeting of the Association or by mail ballot in the Fall of the year.
  • Section 2 - The officers of the Association shall be the President, Vice President, Secretary, Treasurer, and four Directors. One of the four directors will be responsible for the design and maintenance of the Association's web page.
  • Section 3 - Nominations for officers shall be presented by a Nominating Committee to be appointed by the President. Additional nominations may be made from the floor.
  • Section 4 - A plurality of votes cast shall determine the selection of officers.
  • Section 5 - The term of office of all officers shall be four years. The terms shall be staggered so that the terms of two officers will expire each year.

Article VI: Executive Committee

  • Section 1 - The Executive Committee shall consist of the elected officers. The Chairman of the Executive Committee shall be the President of the Association.
  • Section 2 - The Executive Committee shall meet at the call of the Chairman or any three members to act on any business deemed to be of interest to the Association.
  • Section 3 - Any vacancy in any of the elective offices will be filled by appointment to be in effect until the next regular election. Appointments will be made by a majority vote of the Executive Committee giving preference to any members of the Association who were nominated but not elected in the last previous election.
  • Section 4 - The immediate past president may serve as a non-voting ex-officio member of the executive committee for a period of two years following the election of a new president.
  • Section 5 - Newly elected executive board members will be installed immediately following the annual meeting at which they were elected.

Article VII Amendments

  • Section 1 - The Constitution may be amended by a majority vote of the members attending a meeting, or by mail ballot.
  • Section 2 - Amendments may be proposed by any member or officer and the wording of such proposed amendment shall be presented in a notice to members, with the recommendation of the Executive Committee.

Article VIII Incorporation

  • Section 1 - The Association is incorporated under the Non-profit Corporation Law of the Commonwealth of Pennsylvania in compliance with the requirements of 15 Pennsylvania Consolidated Statutes Number 7316. The incorporation documents are dated 18 December, 1975.
